1. Agreement to Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and DBC Technologies Ltd. (“Company”, “we”, “us”, or “our”) governing your access to and use of the Memauri application and service (“Service”), including the websites memauri.com.

By creating an account or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use Memauri. By using the Service you represent that you meet this requirement. Users between 13 and 18 years of age must have consent from a parent or legal guardian.

You must provide accurate, current, and complete information when creating your account and maintain its accuracy throughout your use of the Service.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Keep your password secure and not share it with others
• Notify us immediately of any unauthorised access to your account
• Not create multiple accounts for deceptive purposes
• Not use another person’s account without permission

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use Memauri only for lawful purposes. You must not:

• Record calls without the knowledge and consent of all participants
• Use the Service to harass, threaten, or harm any person
• Transmit unlawful, defamatory, obscene, or fraudulent content
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the application
• Use automated tools to scrape data or interact with the Service in bulk
• Use the Service in any way that violates applicable laws or regulations
• Impersonate any person or entity

5. Recording and Consent

Memauri enables call recording features. You are solely responsible for ensuring that all participants in a call are informed of and consent to any recording, as required by the laws of your jurisdiction. Many jurisdictions require all-party consent for recording.

Memauri provides in-app notifications to all participants when recording is active. You must not disable or circumvent these notifications. DBC Technologies Ltd. is not liable for any legal consequences arising from your use of the recording feature.

6. Subscription, Credits, and Billing

Memauri operates on a free tier with advertisements and a paid credit/token system for premium features. By purchasing credits or tokens you agree to the pricing and terms presented at the time of purchase.

• Credits and tokens are non-refundable except where required by applicable law
• We reserve the right to modify pricing with reasonable advance notice
• Free-tier usage is subject to fair use limits at our discretion
• Upgrading to ad-free removes advertisements for the configured period

7. Advertising

Free-tier accounts are supported by advertising. Advertisements are served by Google AdSense and are subject to Google’s advertising policies. You may remove ads by upgrading to a paid plan within the application.

We do not control the content of third-party advertisements and are not responsible for any products or services advertised through the Service.

8. Intellectual Property

The Memauri name, logo, application design, and all related content are the intellectual property of DBC Technologies Ltd. and are protected by copyright, trademark, and other applicable laws. You may not use our branding without prior written consent.

You retain ownership of any content you create through the Service (messages, recordings, notes). By using the Service you grant us a limited licence to store and process that content solely to provide the Service to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Memauri is a communication tool. We are not responsible for the content of communications made through the Service or for any decisions made based on those communications.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DBC TECHNOLOGIES LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 CAD.

12. Termination

You may stop using the Service and delete your account at any time from the Settings page. We may suspend or terminate your account at any time if you violate these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which DBC Technologies Ltd. is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms with an updated “Last updated” date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
